Terms of Service

1. Agreement

These terms are a contract between you and Agens, Inc. ("Agens," "we," "us") for use of agensai.com, Agens accounts, paid workspaces, and Helium, our desktop application. Accessing the site, creating an account, starting a subscription, or downloading Helium constitutes acceptance.

If your organization has a separately signed order or master agreement with Agens, that writing controls where it conflicts with these terms.

2. The website and demos

Public pages describe Agens capabilities and are provided for evaluation. Interactive workflow pages are demonstrations. They are not a production instance of Helium and do not create a service commitment. Quotes, timelines, and outcome figures are illustrative unless confirmed in an order form.

3. Accounts

You must provide accurate information when you request a demo or create an account. You are responsible for activity under your credentials. We may refuse, suspend, or terminate access that appears abusive, automated, or in violation of these terms.

Identity is provided by Descope. The same account is used on the website and in commercial Helium builds. You must keep session credentials confidential and sign out on shared devices.

4. Helium license

Subject to these terms and a Paid workspace, Agens grants you a limited, non-exclusive, non-transferable, revocable license to install and run the current Windows Helium build for your organization's internal operations. The installer is a current-user NSIS package and does not require administrator rights.

You may not:

  • Sublicense, sell, or provide Helium as a hosted service to third parties
  • Circumvent Paid entitlement, authentication, or usage reporting
  • Reverse engineer Helium except to the extent applicable law allows
  • Remove proprietary notices from the software

Helium runs on your machine. Agens does not operate your local agent runtime or your systems of record from this website. Development or unpacked builds may allow local keys without a Paid workspace; commercial packaged builds require a signed-in Paid workspace before billable model calls.

5. Paid workspaces and billing

Commercial Helium is licensed per workspace. The published Pro subscription is fifty U.S. dollars per month, plus usage priced at two U.S. dollars per one million tokens when a usage price is attached. Checkout, the customer portal, and webhooks are processed by Stripe through our workspace API. Members inherit the workspace entitlement. Only Owners and Admins may start or manage billing.

Subscriptions renew until canceled in the customer portal. Fees are non-refundable except where required by law. We may suspend billable Helium use if status is not Paid, including past-due, canceled, or inactive states.

6. Usage

After a billable Helium run, the desktop client may send usage events to our workspace API so your dashboard can show token and request totals. Events include workspace identity, your account identifier, model name, token counts, a timestamp, and a client run id. We use those records to operate the meter, entitlement, and billing. Duplicate run ids are not counted twice.

7. Acceptable use

You may not:

  • Probe, scan, or attack the site except through coordinated security research
  • Circumvent authentication, rate limits, entitlement, or access controls
  • Copy, scrape, or republish the site in a way that competes with Agens
  • Use the site or Helium to send spam or to misrepresent your affiliation with Agens
  • Use Helium to violate law, infringe others' rights, or process data you are not authorized to use

8. Customer data

Files, connectors, and work product that stay on your device or in your systems of record remain yours. You grant Agens a limited license to process account, membership, billing, and usage data as needed to provide the website, workspace, and Helium commercial loop. Our Privacy Policy describes that processing.

9. Intellectual property

The site, Helium, and related marks, copy, and design are owned by Agens or its licensors. You receive only the licenses stated in these terms. Feedback you send may be used to improve the product without obligation to you.

10. Third-party services

Sign-in, payments, hosting, form intake, and visitor identification are provided by third parties, including Descope, Stripe, and our hosting provider. Their terms apply to the data they process. Model providers you configure in Helium are your processors, not Agens's, unless an order form says otherwise. We are not responsible for third-party sites linked from this website.

11. Disclaimers

The site and Helium are provided "as is." Agens disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law. We do not warrant that the site or Helium will be uninterrupted, error-free, or suitable for a particular operational outcome. Outputs are for review. You remain responsible for decisions and for changes written back to your systems.

12. Limitation of liability

To the fullest extent permitted by law, Agens is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from use of the site, a workspace, or Helium. Our aggregate liability under these terms will not exceed the greater of one hundred U.S. dollars or the amounts you paid Agens for the workspace in the three months before the claim. This cap does not limit liability that cannot be limited by law.

13. Term and termination

These terms apply until you stop using the services or we terminate access for breach, risk, or non-payment. On termination the Helium license ends. You must stop using and may delete local installs. Sections that by nature should survive (including intellectual property, disclaimers, and liability) survive.

14. Export

Helium and related technology may be subject to United States export laws. You may not use or export them in violation of those laws.

15. Governing law

These terms are governed by the laws of the United States and the state in which Agens, Inc. is organized, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive venue, except where applicable law requires otherwise.

16. Changes

We may update these terms by posting a new version on this page. The date above is the effective date. If you continue to use the site, a workspace, or Helium after a change, the new terms apply.
